By downloading, installing, or using MindVoice ("the App"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the App.

1. Overview

MindVoice is a voice note application developed by Forward Alpha ("we", "our", "us") that allows you to record thoughts, transcribe them, and receive AI-generated categorizations and daily summaries.

2. Eligibility

You must be at least 13 years old to use MindVoice. By using the App, you represent that you meet this age requirement.

3. Your Account

MindVoice does not require you to create an account. The App uses a device-based identifier for authentication with cloud services. You are responsible for maintaining the security of your device.

4. Subscription Tiers

MindVoice offers three tiers of service:

Early Adopter Offer

The first 100 users may be eligible for a 30-day free trial and an early adopter annual plan at $24.99/year (50% off the regular annual price). This offer is limited and subject to availability.

5. Subscriptions & Billing

• Subscriptions are billed monthly or annually through Apple's App Store or Google Play Store
• Payment is charged to your Apple ID or Google account at confirmation of purchase
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• You can manage or cancel your subscription in your device's subscription settings
• No refunds are provided for partial subscription periods, except as required by applicable law or app store policies
• Prices may change with notice. Continued use after a price change constitutes acceptance

6. Free Trial

We may offer free trials of paid tiers from time to time. If you do not cancel before the trial ends, you will be charged the regular subscription price. Trial eligibility is determined by Apple/Google and typically limited to one trial per account.

7. Acceptable Use

You agree not to:

• Use the App for any illegal purpose
• Attempt to reverse engineer, decompile, or disassemble the App
• Interfere with or disrupt the App's cloud services or infrastructure
• Attempt to bypass subscription restrictions or authentication mechanisms
• Use automated systems to send excessive requests to our cloud services
• Record or transcribe third parties without their consent where required by law

8. Your Content

You retain full ownership of all voice recordings, transcriptions, summaries, and other content you create with MindVoice. We do not claim any intellectual property rights over your content.

By using Premium cloud features, you grant us a limited, temporary license to process your audio and text data solely for the purpose of providing the transcription and summarization service. This license terminates immediately upon completion of processing.

9. Intellectual Property

The MindVoice app, including its design, code, features, and branding, is owned by Forward Alpha and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal purposes.

10. Third-Party Services

Premium features rely on third-party APIs (ElevenLabs, Groq, Anthropic). While we strive for high availability, we do not guarantee uninterrupted access to these services. If a third-party service is unavailable, the App will attempt to fall back to alternative providers or on-device processing.

11. Disclaimers

• Transcription accuracy: Voice transcription may not be 100% accurate. MindVoice is not intended for use in medical, legal, or other contexts where transcription errors could have serious consequences.
• AI categorization: Automatic categorization is best-effort and may not always be correct. You can manually review and adjust categories.
• Data loss: While we use reliable storage (SwiftData, iCloud), we recommend keeping important information in multiple places. We are not responsible for data loss due to device failure, software bugs, or iCloud issues.

12. Limitation of Liability

To the maximum extent permitted by law, Forward Alpha shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of MindVoice. Our total liability for any claim related to the App shall not exceed the amount you paid for the App in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold Forward Alpha harmless from any claims, damages, or expenses arising from your use of the App or violation of these Terms.

14. Termination

We may suspend or terminate your access to cloud services if you violate these Terms. Upon termination, your right to use Premium features ceases, but your locally stored data remains on your device. The free tier remains available regardless of termination.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the App. Your continued use of MindVoice after changes are posted constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the jurisdiction in which Forward Alpha operates, without regard to conflict of law principles.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
